Website Hosting Terms of Service

These Website Hosting Terms of Service govern the provision of website hosting and related hosting support services by Depasi Consulting Inc. (“Depasi Consulting,” “Depasi,” “we,” “us,” or “our”) to the client, customer, organization, or individual using, purchasing, renewing, or paying for such services (“Client,” “you,” or “your”).
By purchasing, renewing, paying for, accessing, or continuing to use website hosting services provided by Depasi Consulting, you agree to these Terms. If you are using the services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
These Terms are intended to apply to website hosting services only, unless Depasi Consulting and the Client have separately agreed in writing to additional services.
1. Scope of Hosting Services
Unless otherwise expressly agreed in writing, Depasi Consulting’s website hosting service is limited to providing a hosting environment for the Client’s website.
Hosting may include, as applicable:

Provisioning or maintaining server, cloud, or hosting infrastructure;

Keeping the hosting environment generally available for website operation;
-
Providing managed website service;
-
Maintaining access to the hosting account or environment as reasonably required;
-
Applying hosting-level configuration changes at Depasi Consulting’s discretion;
-
Providing limited hosting-related support as determined by Depasi Consulting.
Hosting does not include website maintenance, website management, content updates, software updates, feature development, security monitoring, malware remediation, plugin support, custom code support, troubleshooting of website functionality, performance optimization, SEO, accessibility compliance, analytics configuration, email support, domain management, DNS management, user support, or any other service unless expressly agreed in writing.
Hosting is not a managed website maintenance service unless Depasi Consulting expressly agrees to provide managed maintenance under a separate written agreement, statement of work, quote, or approved billable request.
2. No Included Website Maintenance, Updates, or Functionality Support
Unless expressly agreed in writing, the Client acknowledges that website hosting does not include:

WordPress core updates;

CMS updates;
-
Plugin updates;
-
Theme updates;
-
Custom code updates;
-
Compatibility testing;
-
Bug fixes;
-
Security hardening;
-
Malware scans;
-
Malware removal;
-
Website restoration;
-
Database cleanup;
-
Backup verification;
-
Form testing;
-
Broken page or broken feature troubleshooting;
-
Third-party integration support;
-
E-commerce support;
-
Membership portal support;
-
Payment processing support;
-
User account administration;
-
Content posting or editing;
-
Image, video, or file management;
-
Website redesign;
-
New features or enhancements;
-
Emergency response services.
Any such work is outside the scope of hosting and may be provided only at Depasi Consulting’s discretion as a separate billable service.
No prior assistance, courtesy support, troubleshooting, guidance, or one-off help provided by Depasi Consulting will be interpreted as creating an ongoing obligation to provide similar support in the future.
3. No Additional Features or Implied Services
The Client agrees that purchasing or renewing hosting services does not entitle the Client to any new, additional, expanded, or modified website features, functionality, integrations, plugins, software, workflows, automations, forms, pages, user portals, or technical capabilities.
Any request for new or modified functionality must be separately scoped, quoted, approved, and billed.
Depasi Consulting is not responsible for ensuring that a website continues to support every prior function, plugin, integration, customization, workflow, or third-party dependency over time unless Depasi Consulting has expressly agreed in writing to provide ongoing maintenance and compatibility support for those items.
4. Third-Party Platforms, Software, Plugins, Themes, and Services
Websites often rely on third-party software, services, platforms, plugins, themes, APIs, cloud providers, registrars, DNS providers, payment processors, analytics providers, email providers, and other vendors.
Depasi Consulting does not own or control third-party services unless expressly stated in writing. Depasi Consulting is not responsible for:

Third-party downtime;

Third-party service interruptions;
-
Third-party pricing changes;
-
Third-party license expirations;
-
Third-party software defects;
-
Third-party security vulnerabilities;
-
Third-party plugin or theme conflicts;
-
Third-party updates that affect website functionality;
-
Deprecated third-party functionality;
-
Vendor account suspensions;
-
API changes;
-
Compatibility issues caused by third-party software;
-
Losses, delays, or damages caused by third-party services.
The Client is responsible for maintaining valid licenses, subscriptions, accounts, credentials, and payment methods for any third-party tools, plugins, services, or platforms required by the Client’s website unless otherwise agreed in writing.
5. Client Responsibilities
The Client is responsible for the website, its content, its business use, and any software, plugins, themes, accounts, integrations, credentials, or data associated with it, except to the limited extent expressly agreed otherwise in writing.
The Client is responsible for:

Ensuring website content is accurate, lawful, current, and appropriate;

Ensuring the website complies with applicable laws, regulations, industry rules, privacy obligations, accessibility obligations, and contractual obligations;
-
Maintaining valid software licenses and subscriptions;
-
Maintaining administrative credentials and access rights;
-
Reviewing website functionality after updates or changes;
-
Promptly notifying Depasi Consulting of suspected issues;
-
Providing timely approvals, access, content, information, and cooperation;
-
Maintaining independent records and copies of important business information;
-
Maintaining internal policies for data collection, user accounts, customer information, privacy notices, and consent;
-
Ensuring that authorized users do not misuse the website or hosting environment.
Depasi Consulting is not responsible for delays, issues, costs, losses, or damages caused by the Client’s failure to provide timely access, information, approvals, credentials, cooperation, or payment.
6. Security
Depasi Consulting may use commercially reasonable efforts to operate and administer the hosting environment. However, no website, server, hosting environment, cloud provider, CMS, plugin, theme, or software platform can be guaranteed to be secure, uninterrupted, or free from vulnerabilities.
Unless expressly agreed in writing, Depasi Consulting does not provide continuous security monitoring, intrusion detection, vulnerability scanning, malware scanning, malware removal, firewall management, incident response, forensic investigation, patch management, plugin monitoring, or managed cybersecurity services.
The Client acknowledges that websites may be affected by security vulnerabilities, outdated software, compromised credentials, third-party plugin issues, malicious actors, automated attacks, bot traffic, spam, malware, ransomware, phishing attempts, server abuse, or other security events.
Depasi Consulting does not warrant that the hosting services, website, server, CMS, plugins, themes, integrations, or data will be immune from unauthorized access, attack, compromise, data loss, malware, downtime, or other security incidents.
Any security review, cleanup, restoration, hardening, update work, investigation, malware remediation, or incident response work is outside the scope of hosting and may be billed separately unless expressly included in a written agreement.
7. Malware, Compromise, and Emergency Actions
If Depasi Consulting becomes aware of suspected malware, unauthorized access, abusive traffic, spam, phishing, resource abuse, illegal content, compromised files, or any other issue that may affect the hosting environment, other clients, infrastructure, third-party providers, or public users, Depasi Consulting may take reasonable action without prior notice.
Such action may include:

Restricting public access;
-
Placing the website behind access controls;
-
Suspending hosting access;
-
Disabling files, scripts, plugins, themes, forms, or integrations;
-
Restoring from an available backup;
-
Moving or isolating the website;
-
Blocking traffic;
-
Updating credentials;
-
Removing or disabling suspected malicious files;
-
Contacting third-party providers;
-
Refusing to re-enable public access until risks are addressed.
Depasi Consulting will use reasonable efforts to notify the Client when practical, but the Client agrees that Depasi Consulting may act first where necessary to protect the hosting environment, infrastructure, third-party providers, other clients, or the public.
Emergency containment actions do not mean that Depasi Consulting has accepted responsibility for the cause of the issue. Investigation, remediation, restoration, software updates, compatibility work, and related services may be billed separately.
8. Backups and Restoration
Unless expressly agreed in writing, Depasi Consulting does not guarantee that backups will be created, retained, complete, current, error-free, restorable, or available at any particular time.
Where backups are available, they may be created by third-party infrastructure providers, hosting tools, server snapshots, website plugins, manual exports, or other methods. Such backups are provided on a best-efforts basis only.
The Client is responsible for maintaining its own independent backups of all business-critical data, website content, customer records, files, media, orders, forms, submissions, user data, and other important information.
Depasi Consulting is not responsible for lost, corrupted, incomplete, overwritten, unavailable, outdated, or unrestorable backups.
Backup restoration, testing, validation, migration, or data recovery is outside the scope of hosting and may be billed separately unless expressly included in a written agreement.
9. Website Availability and Downtime
Depasi Consulting does not guarantee uninterrupted service, continuous uptime, specific performance levels, page speed, server response times, search engine ranking, deliverability, transaction success, or error-free operation.
Hosting services may be unavailable or degraded due to:

Scheduled maintenance;
-
Emergency maintenance;
-
Software issues;
-
Third-party provider outages;
-
Network issues;
-
DNS issues;
-
Domain issues;
-
Security events;
-
Resource abuse;
-
Traffic spikes;
-
Plugin or theme conflicts;
-
Client actions;
-
Force majeure events;
-
Circumstances outside Depasi Consulting’s reasonable control.
Unless a separate written service level agreement has been signed, no uptime commitment, service credit, refund, or financial remedy applies to downtime, interruption, degraded performance, or unavailability.
10. Support Requests
Support requests must be submitted through the communication channels designated by Depasi Consulting, typically email or another written channel.
Depasi Consulting may prioritize support requests at its discretion based on urgency, complexity, availability, payment status, security risk, infrastructure impact, and existing commitments.
Unless expressly agreed in writing, Depasi Consulting does not provide guaranteed response times, after-hours support, weekend support, holiday support, emergency support, or on-call support.
Support that goes beyond hosting administration may be billed separately.
11. Billable Services Outside of Hosting
The following are examples of services that are outside hosting and may be billed separately:

Website updates;

WordPress, CMS, plugin, or theme updates;
-
Plugin replacement or compatibility work;
-
Custom code review or repair;
-
Malware cleanup;
-
Website restoration;
-
Security hardening;
-
Backup recovery;
-
Website migration;
-
DNS changes;
-
Domain changes;
-
Email configuration;
-
Form troubleshooting;
-
Payment gateway troubleshooting;
-
Membership or portal troubleshooting;
-
Performance optimization;
-
Database cleanup;
-
New feature requests;
-
Content updates;
-
Design changes;
-
Training;
-
Documentation;
-
Meetings;
-
Consulting;
-
Vendor coordination;
-
Incident response.
Depasi Consulting may require written approval, a quote, a deposit, or payment of outstanding balances before beginning billable work.
12. Fees, Payment, Renewal, and Suspension
The Client agrees to pay all fees for hosting and related services when due.
Hosting may be billed monthly, annually, or on another billing cycle agreed by Depasi Consulting. Unless otherwise stated in writing, hosting fees are non-refundable once the billing period begins.
Depasi Consulting may increase hosting fees upon renewal or upon notice to reflect changes in infrastructure costs, third-party costs, service levels, administration time, support requirements, or business costs.
If payment is late, declined, disputed, reversed, or unpaid, Depasi Consulting may suspend, restrict, or terminate hosting services, disable access, pause support, withhold migration assistance, or remove the website from active hosting.
The Client remains responsible for all fees incurred before suspension or termination, including hosting fees, third-party fees, restoration fees, support fees, and any approved billable work.
Suspension or termination for non-payment does not relieve the Client of its payment obligations.
13. Acceptable Use
The Client may not use the hosting services for any unlawful, abusive, harmful, deceptive, infringing, or high-risk purpose.
Prohibited uses include:

Hosting unlawful, defamatory, fraudulent, infringing, or harmful content;
-
Sending spam or unauthorized bulk messages;
-
Running phishing, malware, botnet, scraping, or attack infrastructure;
-
Attempting unauthorized access to systems or data;
-
Hosting content that violates third-party rights;
-
Using excessive server resources;
-
Interfering with other users, clients, providers, or infrastructure;
-
Circumventing security controls;
-
Uploading malicious code;
-
Violating applicable laws, regulations, or third-party terms.
Depasi Consulting may suspend or terminate services immediately if it reasonably believes the Client has violated this section or created risk to the hosting environment, infrastructure, third-party providers, other clients, or the public.
14. Privacy and Data
The Client is responsible for determining what personal information, customer information, user information, form submissions, analytics data, payment information, account information, or other data is collected, processed, stored, transmitted, or displayed by the Client’s website.
Unless otherwise agreed in writing, Depasi Consulting is not responsible for drafting, maintaining, reviewing, or enforcing the Client’s privacy policy, cookie policy, consent notices, terms of use, accessibility notices, data retention policies, or regulatory compliance documents.
The Client is responsible for ensuring that the website and its business practices comply with applicable privacy, data protection, consumer protection, accessibility, anti-spam, and industry-specific laws.
Depasi Consulting may access website files, hosting systems, databases, logs, credentials, or other technical information as reasonably necessary to provide hosting or related services.
The Client must not provide Depasi Consulting with sensitive personal information, regulated data, payment card data, health information, financial information, or confidential third-party data unless Depasi Consulting has expressly agreed in writing to handle such information.
15. Client Content and Legal Compliance
The Client is solely responsible for all content, materials, files, media, text, images, videos, documents, trademarks, logos, products, services, claims, statements, offers, downloads, user submissions, and other information displayed on or transmitted through the website.
Depasi Consulting does not review Client content for legality, accuracy, privacy compliance, accessibility compliance, intellectual property compliance, regulatory compliance, or suitability.
The Client represents that it has all rights, permissions, consents, licenses, and authority required to use, publish, store, transmit, and display all Client content.
The Client agrees to indemnify Depasi Consulting for claims arising from Client content, Client data, Client business practices, Client instructions, Client-provided materials, or the Client’s use of the website.
16. Domains, DNS, and Email
Unless expressly agreed in writing, hosting services do not include domain registration, domain renewal, DNS management, email hosting, mailbox support, email deliverability support, spam filtering, email migration, or email troubleshooting.
The Client is responsible for maintaining domain ownership, domain access, DNS access, registrar accounts, email accounts, renewal payments, and related credentials.
Depasi Consulting is not responsible for expired domains, DNS misconfiguration, registrar lockouts, email outages, email deliverability issues, spam filtering, blacklisting, or loss of access to third-party accounts unless caused directly by Depasi Consulting’s gross negligence or willful misconduct.
17. Intellectual Property
The Client retains ownership of Client-provided content, subject to any third-party licenses or restrictions.
Depasi Consulting retains ownership of its pre-existing tools, processes, templates, code libraries, systems, methods, documentation, know-how, configurations, internal workflows, and reusable materials.
Website code, themes, plugins, software, media, stock assets, fonts, third-party tools, and other components may be subject to third-party licenses. The Client is responsible for complying with such licenses.
Unless expressly agreed in writing and paid in full, no transfer of ownership is made for custom development, configuration, documentation, source files, templates, or other work product.
18. Migration, Handoff, and Termination Assistance
Upon request, Depasi Consulting may provide reasonable migration or handoff assistance as a separate billable service, subject to payment of all outstanding amounts.
Depasi Consulting is not obligated to provide unpaid migration, export, troubleshooting, documentation, training, third-party coordination, or transition services.
Depasi Consulting may withhold migration assistance, backups, exports, credentials, or other transition support until all outstanding fees are paid, except where prohibited by applicable law.
The Client is responsible for arranging a new hosting provider, technical resource, registrar access, DNS access, email provider, software licenses, and any other services required after termination.
Depasi Consulting is not responsible for downtime, data loss, broken functionality, DNS issues, email issues, software conflicts, or other problems arising during or after migration to another provider unless caused directly by Depasi Consulting’s gross negligence or willful misconduct.
19. Suspension and Termination
Depasi Consulting may suspend or terminate hosting services if:

Fees are unpaid;

Payment is reversed, disputed, or declined;
-
The Client breaches these Terms;
-
The website poses a security, legal, operational, reputational, or infrastructure risk;
-
The website is compromised or suspected to be compromised;
-
The website uses excessive resources;
-
The Client fails to cooperate;
-
The Client misuses the services;
-
A third-party provider suspends or terminates required services;
-
Continuing service is not commercially, technically, or legally reasonable.
Upon termination, Depasi Consulting may delete, archive, disable, or remove website files, databases, backups, accounts, credentials, and hosting resources after a reasonable period, unless otherwise required by law or agreed in writing.
The Client is responsible for retrieving any required website files, backups, content, or data before termination.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE HOSTING SERVICES AND ANY RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OR CONDITION OF ANY KIND.
DEPASI CONSULTING DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SECURITY, AVAILABILITY, UPTIME, PERFORMANCE, COMPATIBILITY, ACCURACY, COMPLETENESS, ERROR-FREE OPERATION, AND UNINTERRUPTED SERVICE.
DEPASI CONSULTING DOES NOT WARRANT THAT:

THE WEBSITE WILL BE AVAILABLE AT ALL TIMES;
-
THE WEBSITE WILL BE SECURE;
-
THE WEBSITE WILL BE FREE FROM MALWARE OR VULNERABILITIES;
-
BACKUPS WILL BE AVAILABLE OR RESTORABLE;
-
THIRD-PARTY SERVICES WILL CONTINUE TO WORK;
-
SOFTWARE WILL REMAIN COMPATIBLE;
-
UPDATES WILL NOT BREAK FUNCTIONALITY;
-
THE WEBSITE WILL MEET THE CLIENT’S BUSINESS REQUIREMENTS;
-
ERRORS WILL BE CORRECTED;
-
DATA WILL NOT BE LOST;
-
SEARCH RANKINGS, SALES, LEADS, CONVERSIONS, OR BUSINESS OUTCOMES WILL BE ACHIEVED.
THE CLIENT ACCEPTS THE ENTIRE RISK ARISING FROM USE OF THE WEBSITE, HOSTING SERVICES, SOFTWARE, THIRD-PARTY SERVICES, AND ANY RELATED SYSTEMS.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEPASI CONSULTING’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE HOSTING SERVICES, WEBSITE, THESE TERMS, OR ANY RELATED SERVICES WILL NOT EXCEED THE AMOUNT PAID BY THE CLIENT TO DEPASI CONSULTING FOR HOSTING SERVICES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT WILL DEPASI CONSULTING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITY, BUSINESS INTERRUPTION, LOSS OF GOODWILL, REPUTATIONAL HARM, LOST DATA, DATA CORRUPTION, WEBSITE DOWNTIME, SECURITY INCIDENTS, MALWARE, COSTS OF SUBSTITUTE SERVICES, THIRD-PARTY CLAIMS, OR FAILURE OF THIRD-PARTY SOFTWARE OR SERVICES, EVEN IF DEPASI CONSULTING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The limitations in this section apply regardless of the form of claim, whether in contract, tort, negligence, strict liability, statute, equity, or otherwise.
22. Indemnification
The Client agrees to defend, indemnify, and hold harmless Depasi Consulting, its directors, officers, employees, contractors, subcontractors, agents, suppliers, and affiliates from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to:

Client content;

Client data;
-
Client instructions;
-
Client business practices;
-
Client products or services;
-
Client users or customers;
-
The Client’s breach of these Terms;
-
The Client’s violation of law;
-
The Client’s violation of third-party rights;
-
The Client’s failure to maintain licenses, credentials, subscriptions, or approvals;
-
The Client’s failure to update or maintain website software where such work was not included in a written agreement;
-
Compromise caused by Client credentials, Client users, Client software, Client-selected plugins, or Client-controlled accounts;
-
Third-party claims relating to the Client’s website or business.
23. Force Majeure
Depasi Consulting will not be liable for delay, failure, interruption, data loss, downtime, degraded performance, or inability to perform caused by events beyond its reasonable control.
Such events may include acts of God, fire, flood, storm, power failure, network failure, cyberattack, malware, ransomware, labour dispute, civil unrest, war, terrorism, pandemic, government action, legal restriction, supply chain issue, third-party provider outage, cloud provider failure, registrar failure, DNS failure, software vulnerability, or other circumstances beyond Depasi Consulting’s reasonable control.
24. Changes to These Terms
Depasi Consulting may update these Terms from time to time by posting a revised version on its website or otherwise providing notice.
The updated Terms will apply to hosting renewals, new services, continued hosting use, and services provided before or after the updated Terms are posted or communicated, unless otherwise prohibited by law or agreed in writing.
If the Client does not agree to updated Terms, the Client must stop using the hosting services and arrange for migration before the next renewal or continued service period.
25. Conflicts With Separate Written Agreements
If Depasi Consulting and the Client have entered into a separate signed written agreement, master services agreement, statement of work, quote, proposal, or addendum, that separate written document will govern only to the extent it directly conflicts with these Terms.
All other provisions of these Terms will continue to apply.
No verbal statement, informal message, prior support activity, courtesy assistance, sales discussion, or general website description will modify these Terms unless confirmed in writing by Depasi Consulting.
26. No Waiver
Depasi Consulting’s failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision in the future.
Any waiver must be in writing and signed or expressly confirmed by Depasi Consulting.
27. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
28. Assignment
The Client may not assign, transfer, or delegate these Terms or any hosting services without Depasi Consulting’s prior written consent.
Depasi Consulting may assign, transfer, delegate, subcontract, or otherwise arrange for the provision of services through employees, contractors, subcontractors, affiliates, successors, vendors, or third-party providers.
29. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
The Client agrees that any dispute arising out of or relating to these Terms, the hosting services, the website, or any related services will be brought exclusively in the courts located in Ontario, Canada, unless Depasi Consulting elects otherwise or applicable law requires otherwise.
